AGNICO EAGLE ANNOUNCES DISPOSITION OF DELTA AND HELM BAY PROJECTS AND INVESTMENT IN VIZSLA COPPER
The deal gives Agnico Eagle 22,523,283 Vizsla Copper shares and warrants, while adding milestone payments tied to Delta’s resource, feasibility and production targets.
- On Tuesday, Agnico Eagle Mines Limited announced its subsidiary, Agnico USA, entered a purchase agreement to sell the Delta and Helm Bay mining projects to Vizsla Copper Corp.
- Agnico Eagle will receive 22,523,283 common shares representing approximately 19.99% of Vizsla Copper, plus 3,041,480 warrants and net smelter return royalties of 2.0% on Delta and 3.0% on Helm Bay.
- Expected to close in the fourth quarter of 2026, the transaction includes contingent milestone payments: C$5,000,000 upon a resource estimate for Delta, C$5,000,000 upon completion of a feasibility study, and C$10,000,000 upon commercial production.
- Designated as an insider of Vizsla Copper, Agnico Eagle committed to participating in the company's next equity financing, contributing up to the lesser of C$5,000,000 or 10% of gross proceeds.
- Agnico Eagle's participation in the post-closing financing is conditional on completion by December 31, 2026; if deferred consideration shares are not issued by January 31, 2027, Vizsla Copper must issue a promissory note.
