Transcontinental to Sell Packaging Business, Plans Distribution to Shareholders
TC Transcontinental will distribute about $20 per share to shareholders from $2.22 billion sale of mostly U.S.-based Packaging business to ProAmpac, aiding debt reduction.
- On Dec. 8, 2025, Transcontinental Inc. announced a Stock Purchase Agreement to sell its Packaging Sector to ProAmpac, with an enterprise value of approximately $2.2 billion and roughly $2.1 billion in cash consideration.
- Amid industry consolidation, the company is maximizing shareholder value and refocusing on Retail Services & Printing and in-store marketing , management said.
- For the 12 months ended July 27, 2025, the Packaging Sector generated approximately $1.6 billion in revenues and $157 million in operating earnings, with adjusted operating earnings before depreciation and amortization of about $255 million implying acquisition multiples of 8.7x and 9.0x .
- Upon closing in the first quarter of 2026, shareholders will receive approximately $20.00 per share, with the proxy mailing by December 19, 2025, and approval expected at the end of January 2026.
- ProAmpac will broaden its end-market focus by including protein, dairy and medical segments and expanding its geographic reach through TC Transcontinental Packaging's U.S.-weighted footprint, while Transcontinental expects a streamlined profile with stronger free cash flow and a pro forma Net indebtedness ratio of approximately 1.7x.

MONTREAL — Transcontinental Inc. has signed an agreement to sell its packaging business to ProAmpac Holdings Inc. in an deal valued at $2.22 billion, including debt lease obligations.
Transcontinental announced on Monday that it had entered into an agreement to sell its packaging business to ProAmpac Holdings for $2.10 billion.
