On Sunday, Tata Trusts declared the September 17 reappointment of Chairman N. Chandrasekaran invalid, stating the Board failed to secure mandatory support from its nominee directors.
Tata Sons' AoA requires affirmative support from a majority of Tata Trusts Nominee Directors, who represent the Trusts' approximately 66 per cent stake in the company.
Rejecting the use of a casting vote, the Trusts argued the Chairman's mechanism applies only to board-level ties, not to specific nominee director requirements.
Citing Supreme Court proceedings regarding Articles 104B and 121, the Trusts asserted Tata Sons cannot disregard affirmative voting protections it previously defended in court.
The Trusts rejected arguments that listing Tata Sons would improve governance, citing the company's voluntary adoption of standards covering audits, independent directors, and related-party oversight.
