After Hindenburg: 5 Adani Group Companies Settle Disclosure Violation Case with Sebi
The companies settled without admitting wrongdoing, and SEBI said the cases covered related-party disclosure lapses and audit reports signed without valid peer review certificates.
On Tuesday, the Securities and Exchange Board of India settled adjudication proceedings against five Adani Group companies, which collectively paid Rs 1.50 crore to resolve alleged disclosure and corporate governance violations.
These proceedings followed SEBI's examination of corporate governance issues highlighted in the 2023 Hindenburg Research report, specifically concerning non-disclosure of related-party transactions and audit reports signed by firms lacking valid peer review certificates.
Adani Enterprises Ltd paid Rs 76.05 lakh, while Adani Green Energy Ltd paid Rs 45.50 lakh, with Adani Total Gas Ltd, AWL Agri Business Ltd, and Adani Energy Solutions Ltd each contributing Rs 9.75 lakh.
The firms finalized payments without admitting or denying guilt, though SEBI retains authority to reopen enforcement proceedings if settlement representations are found untrue.
Investigations into other Hindenburg-related allegations remain pending, including probes into potential share price manipulation and whether offshore investors were used to circumvent Indian rules requiring 25% public shareholding.
