HONEYWELL ANNOUNCES PRICING OF ITS DEBT TENDER OFFERS
Honeywell redeemed $7.6 billion in debt across U.S. dollar and euro bonds to manage maturities and costs ahead of its aerospace spinoff, after lenders tendered over $7.2 billion.
- Honeywell said today in a press release it will redeem $4.67 billion of dollar-denominated debt and $2.9 billion of euro debt, totaling about $7.6 billion.
- Honeywell launched the tender after issuing $16 billion in senior notes earlier this month, and it increased the Dollar and Euro Total Maximum Amounts in the March 6, 2026, Offer to Purchase.
- Withdrawal rights expired on March 19, 2026, at 5:00 p.m. New York time, and Honeywell applied a proration factor of approximately 93% to Dollar Securities validly tendered by the Early Participation Date.
- Honeywell said it will stop accepting tenders because tendered amounts exceeded the Dollar and Euro Total Maximum Amounts, and it is excluding lower-priority acceptance levels, with a $50 per $1,000 early participation payment included.
- Honeywell intends to exercise its right to purchase accepted Securities on March 24, 2026, the Early Payment Date; the Tender Offers expire April 7, 2026, and any remaining 3.500% Notes and 2.250% Notes will be redeemed on April 10, 2026.
