Elliott Management Sends Letter to Northern Star Resources Ltd Board of Directors
Elliott said its 5.6% stake supports new directors and a review after years of execution and governance failures.
On Wednesday, Elliott Investment Management L.P., holding approximately 5.6% of Northern Star Resources Ltd, sent a letter demanding a 'Substantial Board Enhancement' and comprehensive strategic review of the Australian gold miner.
Citing what they describe as 'multiple years of execution and governance failures,' Elliott initiated engagement in June. The firm argues a refreshed board is required to support incoming CEO Suresh Vadnagra and oversee strategic reviews.
Elliott proposed six highly accomplished independent director candidates, including former Anglo American CEO Mark Cutifani and former Barrick CFO Graham Shuttleworth, to strengthen board expertise and restore market confidence.
Northern Star's Board previously agreed in June to consider Elliott-proposed director candidates, expressing openness to enhancing board composition. The new letter formally presents the slate to strengthen governance and technical expertise.
Over the past 15 years, Elliott has worked to add more than 150 directors to company boards, in almost every case by agreement. This track record positions the firm as an experienced activist investor in governance matters.
